8. Intellectual Property

ZinBex AI Property

All software, systems, workflows, branding, content, methodologies, designs, and intellectual property created or owned by ZinBex AI remain our exclusive property.

Client Content

You retain ownership of content, information, data, and materials you provide to us.

You grant ZinBex AI a limited license to use such content solely for the purpose of providing services.

AI Outputs

Subject to payment of applicable fees, clients retain ownership of AI-generated outputs delivered specifically for their use.

However, ZinBex AI retains ownership of all underlying systems, workflows, templates, methodologies, prompts, automations, and proprietary processes used to generate those outputs.

9. Service Suspension and Termination

We may suspend, restrict, or terminate services immediately if:

Payments are overdue;

You breach these Terms;

You engage in unlawful conduct;

Your use creates security, legal, or operational risks;

We reasonably believe continued service would harm our business or other users.

We reserve the right to refuse service at our sole discretion where permitted by law.

10. Availability of Services

We strive to provide reliable services but do not guarantee:

Continuous availability;

Uninterrupted access;

Error-free operation;

Specific uptime levels.

Maintenance, updates, outages, third-party provider issues, and technical failures may affect service availability.

11. Limitation of Liability

To the maximum extent permitted by law, ZinBex AI shall not be liable for:

AI-generated errors or inaccuracies.

Our total liability for any claim relating to the services shall not exceed the amount paid by the customer to ZinBex AI during the twelve (12) months preceding the claim.

We make no warranties, express or implied, regarding:

Reliability;

Availability;

Fitness for a particular purpose;

Non-infringement.

You use our services at your own risk.

13. Indemnification

You agree to indemnify and hold harmless ZinBex AI, its owners, contractors, and affiliates from any claims, liabilities, damages, costs, or expenses arising from:

15. Dispute Resolution

If unresolved, the parties agree to participate in mediation before commencing court proceedings.

If mediation is unsuccessful, disputes may be brought before the courts of New South Wales, Australia.

Any legal proceedings arising from these Terms shall be subject to the jurisdiction of the courts of New South Wales.
